1. Acceptance of Terms

By accessing or using Portald ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Portald provides a trading authorization platform for AI agents. The Service allows users to connect brokerage accounts, grant AI agents permission to execute trades on their behalf, and manage approval workflows with configurable limits.

3. Account Registration

You must provide accurate and complete information when creating an account
You are responsible for maintaining the security of your account credentials

You must be at least 18 years old to use the Service
One person or entity may not maintain multiple free accounts

4. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Attempt to gain unauthorized access to any part of the Service
Interfere with or disrupt the Service or servers

Register agents for fraudulent or malicious purposes
Impersonate any person or entity
Violate any applicable laws or regulations

5. Payments and Billing

Subscription BillingPaid features are billed in advance on a subscription basis
Payment ProcessingPayment processing is handled securely by Stripe
Billing InformationYou are responsible for providing accurate billing information
Pricing ChangesWe reserve the right to change pricing with 30 days notice

6. Agent Responsibilities

You are responsible for all actions taken by AI agents registered under your account. Portald facilitates authorization and approval workflows but does not control or assume liability for agent behavior or trading decisions.

7. Brokerage Connections

Third-Party BrokeragesPortald connects to third-party brokerages (such as Alpaca Markets) via OAuth. Your brokerage relationship is governed by your agreement with that brokerage.
API AccessBy connecting your brokerage account, you authorize Portald to access account information and execute trades on your behalf as directed by your approved AI agents.
Credential SecurityYour brokerage credentials are encrypted at rest. Portald can execute trades but cannot withdraw funds from your brokerage account.
DisconnectionYou may disconnect your brokerage account at any time through your dashboard or by revoking access through your brokerage's settings.

8. Trading Risks and Disclaimers

IMPORTANT: Trading securities involves substantial risk of loss.

Past performance does not guarantee future results
You may lose some or all of your invested capital
AI agents may make decisions that result in losses

Portald does not provide investment advice
You are solely responsible for your trading decisions
Consult a financial advisor before trading

Portald is not a registered investment adviser, broker-dealer, or financial planner. The Service is a technology platform that facilitates agent-based trading automation at your direction.

9. Intellectual Property

The Service and its original content, features, and functionality are owned by Portald and are protected by intellectual property laws. Your data remains yours.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

11. Limitation of Liability

To the maximum extent permitted by law, Portald shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

12. Termination

We may terminate or suspend your account at any time for violations of these terms. You may cancel your account at any time. Upon termination, your right to use the Service will cease immediately.

13. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes. Continued use of the Service after changes constitutes acceptance of the new terms.

14. Governing Law

These terms shall be governed by the laws of the State of Texas, United States, without regard to conflict of law provisions.
